General
All contracts for the supply of goods ("Goods") by TION Global Ltd to a customer ("Purchaser") are subject to these terms and conditions. By engaging with TION Global Ltd, the Purchaser accepts that these terms and conditions take precedence over any of the Purchaser’s own terms. Any contract interpretation shall be governed by English Law.
Sale and Exchange of Goods
- All goods are manufactured and sold in accordance with our own specifications and industry standards, ensuring quality and compliance.
- Upon approval of the final drawings, the Purchaser assumes full liability for payment of the total invoice amount. Any modifications requested after the commencement of manufacturing will incur additional charges, which the Purchaser is responsible for covering.
- No conflicting stipulations by the Purchaser are valid unless explicitly authorized by TION Global Ltd in writing.
- Goods supplied for non-bespoke projects may be exchanged for goods of equivalent value within 28 days of delivery, provided they are unused, in their original unopened packaging, and in saleable condition. Return costs are borne by the Purchaser.
Pricing and Payment
- Prices are quoted ex-warehouse unless otherwise agreed in writing.
- Prices are subject to change without notice due to manufacturing costs or other variables.
- Standard payment terms: 50% deposit upon order, with the remaining 50% payable upon delivery unless agreed otherwise. Non payment of deposits will affect delivery and lead times.
- For bespoke and express orders, TION Global Ltd reserves the right to require 100% upfront payment. Manufacturing will not commence until deposits or payments have been received; this will delay lead times.
Order Cancellations and Returns
- Orders may be cancelled up to 21 days before the scheduled delivery date if the manufacturing process has not commenced.
- If an order is cancelled after the 21-day cut-off, the full order value is due. If manufacturing has not started, a storage and handling fee will be applied and deposits will be retained.
- Returns of incorrectly ordered or unwanted goods are subject to a 25% handling fee, plus any associated removal and return costs, deposits will also be retained in full.
Ownership and Risk
- Ownership remains with TION Global Ltd until full payment is received.
- Risk passes to the Purchaser upon delivery.
- If payment is not completed, TION Global Ltd reserves the right to repossess the goods.
- If payments remain outstanding for more than 30 days, TION Global Ltd reserves the right to apply interest at the current bank rate, along with any additional fees incurred in recovering the outstanding balance.
Liability and Claims
- Claims for loss or damage in transit must be filed with the carrier immediately.
- No claims for non-delivery or incomplete works will be entertained unless written notification is received within seven days of receipt.
- Liability is limited to the invoice price of the goods in question.
- Under no circumstances shall TION Global Ltd be liable for financial, economic, or consequential losses.
- This clause does not exclude liability for fraudulent misrepresentation.
Delivery and Installation
- Delivery dates are indicative only and do not constitute grounds for order cancellation.
- If a customer rejects the first available delivery date, the final balance may be invoiced in full immediately and payment will be due in full before the second delivery is scheduled.
- Delayed deliveries may incur additional charges, including storage fees, installation team fees, scheduling fees, and engineer visit costs.
- If the customer refuses or cancels a confirmed engineer visit or installation, the full cost of the scheduled service will be charged to the Purchaser."
Compliance and Usage
- Goods must be used strictly in accordance with the manufacturer’s package insert or applicable guidelines.
- The Purchaser acknowledges sole responsibility for ensuring goods and procedures are suitable for their intended purpose.
- TION Global Ltd does not routinely perform quality control testing on third-party goods.
- The Purchaser indemnifies TION Global Ltd against any claims arising from the use of goods.
- The warranty shall be considered void if the product is damaged due to misuse, neglect, unauthorized modifications, or failure to adhere to the manufacturer’s guidelines.
Insolvency and Termination
If the Purchaser enters insolvency or administration:
- TION Global Ltd may suspend further deliveries or cancel agreements.
- Any unpaid invoices become immediately due and payable.
Third-Party Rights
- No third party has any rights to enforce any term of the contract.
- These terms represent the entire agreement between the parties.
Acceptance of Terms
If a customer chooses not to accept these terms and conditions, they may close their account at no charge by contacting their account manager.
